Terms of Service

Introduction and Acceptance
These Terms of Service ("Terms") are between you and 2primes, Inc ("2primes," "we," "us," or "our") and govern your access to and use of the Tipoff platform, website, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.
Description of Service
Tipoff is an AI enablement platform that helps organizations turn tool access into durable capability. The Service may include features for prompt management, workflow sharing, team analytics, and AI adoption tracking.
Accounts and Registration
To use the Service, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use.
Subscription and Billing
Certain features of the Service require a paid subscription. By subscribing, you agree to pay the applicable fees as described on our Pricing page.
- Subscriptions renew automatically unless cancelled before the renewal date
- Fees are non-refundable except as required by law or as stated in your subscription agreement
- We may change pricing with at least 30 days' advance notice
- Failure to pay may result in suspension or termination of your access
Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws
- Attempt to gain unauthorized access to any part of the Service or its related systems
- Interfere with or disrupt the integrity or performance of the Service
- Reverse engineer, decompile, or disassemble any part of the Service
- Use the Service to generate, store, or distribute harmful, abusive, or misleading content
- Share your account credentials or allow unauthorized third parties to access the Service
Your Content and Data
You retain ownership of all content you create, upload, or share through the Service. This includes your prompts, workflows, playbooks, and organizational data. We do not claim ownership of your content.
You grant us a limited, non-exclusive license to host, store, and display your content solely to provide and improve the Service. This license ends when you delete your content or close your account.
You are responsible for ensuring you have the necessary rights to any content you upload, and that your content does not infringe the intellectual property rights of others.
Intellectual Property
The Service, including its design, features, code, documentation, and branding, is owned by 2primes, Inc and protected by intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or brand elements without our prior written consent.
Third-Party Services
The Service may integrate with or contain links to third-party services. We are not responsible for the content, privacy practices, or availability of these services. Your use of third-party services is governed by their respective terms and policies.
Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.
AI-generated outputs are provided for informational purposes only. We do not guarantee the accuracy, completeness, or reliability of any AI-generated content. You are responsible for reviewing and validating any outputs before relying on them for business decisions.
Limitation of Liability
To the maximum extent permitted by law, 2primes, Inc shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
Indemnification
You agree to indemnify and hold harmless 2primes, Inc and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.
Termination
You may terminate your account at any time by contacting us or using the account settings. We may suspend or terminate your access if you violate these Terms or if continued access poses a risk to the Service or other users. Upon termination, your right to use the Service ceases immediately, and we may delete your data in accordance with our Privacy Policy.
Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws provisions. Any disputes arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware. You consent to the personal jurisdiction of these courts.
Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the "Effective date" above. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
